Terms of use

1. Who we are and what these terms cover

Perfica is operated by Uezar Labs (“we”, “us”). These terms cover the Perfica desktop app, the website perfica.dev, and Perfica Cloud if you buy it. By installing or using Perfica you agree to them. If you do not agree, do not install or use Perfica.

If you use Perfica for an organisation, you confirm you may accept these terms for it, and “you” includes that organisation.

2. What Perfica does

Perfica is a desktop app in which loops of AI agents plan, write, review and test software on your own computer. The agents work in folders you choose, with AI models you choose, and with the permissions you give them.

3. The agents act on your computer

This is the most important section of these terms.

• Agents run commands and change files. Perfica’s agents run commands on your computer and create, change and delete files in the folders you give them. That is what the product is for.
• AI models make mistakes. An agent can run a command you did not expect, change or delete the wrong files, install software, use your network, or write code that is wrong or insecure. No setting removes that possibility.
• You decide what the agents can reach. You choose the folders, the models, the capabilities each agent is granted, and whether the command sandbox and command approvals are on. You are responsible for those choices and for what runs under them.
• Protect what matters before you start. Keep backups and use version control. Review what the agents run and what they change. Use the sandbox and approvals for anything you care about. Do not give agents folders holding data you cannot afford to lose or must not share.
• Check the output before you rely on it. You are responsible for reviewing, testing and securing any code or other output before you use, publish or deploy it.

Perfica’s safeguards (write scopes, the command guard, the sandbox and approvals) reduce these risks. They do not remove them.

4. Your models, your keys

• Bring your own key. Perfica uses AI models through your own accounts with model providers (for example OpenAI, Anthropic, Google, OpenRouter or NVIDIA) or through model servers on your own machine (such as Ollama or LM Studio).
• Their terms apply. Your use of a provider is governed by that provider’s terms and policies, and the provider bills you directly. We are not a party to that relationship and are not responsible for a provider’s service, availability, prices, or what it does with what you send it.
• What you send them. Prompts, and the files, command output and images the agents read, are sent from your computer to the providers you pick. Choose providers whose terms suit your data.
• Your costs. You are responsible for keeping your API keys secure and for what your use costs, including runs you started and left running. Perfica offers limits on passes and on request rates; setting them is up to you.

5. Your content

We claim no rights in your projects, prompts or the output Perfica produces for you. You are responsible for having the rights to what you give the agents. Output from AI models may not be unique, and a provider’s terms may say more about it.

6. Acceptable use

Do not use Perfica to break the law, infringe anyone’s rights, gain unauthorised access to or attack any system, create malware, or run agents on computers or accounts you are not authorised to control. Do not use it in a way that breaks your model providers’ usage policies.

7. The software

• Licence. We grant you a personal, non-exclusive, non-transferable and revocable licence to install and use Perfica. You may not sell or sublicense it, or remove its notices.
• Third-party components come under their own licences, listed with the app.
• Updates. The app checks for updates and can download and install them. Features may change or be removed over time.
• Price. The desktop app is free to use with your own keys. Perfica Cloud is an optional paid plan.

8. Accounts and Perfica Cloud

• Accounts are optional. Everything in the desktop app works without one. An account is needed for Perfica Cloud.
• Keep your account secure. You are responsible for activity under your account.
• Price and billing. Perfica Cloud costs US$36 a year, billed yearly. The price shown at checkout is the one that applies. Cloud is sold through Paddle, which acts as merchant of record: Paddle sells the subscription to you, takes payment, handles taxes and issues receipts, and Paddle’s buyer terms apply to the purchase.
• Renewal and cancelling. The subscription renews each year until you cancel. You can cancel at any time. Cancelling stops the next renewal, and Cloud stays on until the end of the period you paid for.
• Refunds. You can get a full refund within 14 days of a purchase or a renewal, with no questions asked. See the refund policy.
• If we stop Cloud. If we discontinue Cloud for reasons other than your breach of these terms, we will refund the unused part of the period you paid for.
• Suspension. We may suspend or close an account that seriously or repeatedly breaks these terms.

9. No warranty

To the extent the law allows, Perfica is provided “as is” and “as available”, without warranties of any kind, express or implied. That includes any warranty of merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, or correct output.

10. Limitation of liability

To the extent the law allows:

• No indirect losses. We are not liable for indirect, incidental, special, consequential or punitive damages, or for any loss of data, files, profits, revenue or business. This includes losses caused by commands the agents ran, files they changed or deleted, output of AI models, your choice of models, folders and permissions, and charges from model providers or other third parties.
• A cap. Our total liability for all claims relating to Perfica is limited to the amount you paid us for Perfica in the 12 months before the event that gave rise to the claim. If you paid nothing, that amount is zero.
• What is not limited. Nothing in these terms limits liability that the law does not allow to be limited, such as liability for fraud, wilful misconduct or gross negligence, or rights you have as a consumer that cannot be waived.

11. Responsibility for misuse

If you use Perfica in breach of these terms or of the law and someone makes a claim against us because of it, you will cover our reasonable losses from that claim, to the extent the law allows.

12. Ending

You can stop using Perfica at any time by uninstalling it, and cancel Cloud as described above. We may stop offering Perfica or any part of it. Sections 3, 5, 9, 10, 11 and 14 continue to apply after your use ends.

13. Changes to these terms

We may change these terms. We will publish the new version on this page with a new version number and effective date. When the terms or the privacy policy change, the app asks you to accept the new version before agents work on your computer again. If you do not accept it, stop using Perfica; if you have Cloud, you can cancel it.

14. Law and disputes

These terms are governed by the laws of Chile. Disputes go to the courts of Santiago, Chile. If you are a consumer, you keep the protection of the mandatory consumer laws of the country where you live, and your right to go to the courts or consumer authorities there. In Chile that includes the Servicio Nacional del Consumidor (SERNAC).

15. Language

These terms are published in English and Spanish. If the two versions differ, the English version controls.
